Governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code and Consumer Protection Law No. 181 of 2018.
1. Introduction & Acceptance of Terms
Welcome to Hessity ("Platform," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User") and Hessity governing your access to and use of the Hessity educational management platform, including all related websites, mobile applications, software, and services (collectively, the "Services"). BY REGISTERING FOR, ACCESSING, OR USING THE SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree, you must immediately discontinue all use of the Services. These Terms are governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code, the Consumer Protection Law No. 181 of 2018, and the Personal Data Protection Law No. 151 of 2020.
2. The Hessity Ecosystem & Vision
Hessity is a comprehensive educational management platform designed to unify the educational journey. The Platform connects Students, Parents, Teachers, and Educational Centers through a Unified Identity and Multi-Workspace environment, enabling seamless collaboration and real-time communication across all stakeholders in the learning process. Hessity's mission is to eliminate operational friction in education — enabling educators to focus on teaching and learners to focus on growth.
3. Eligibility & Account Registration
3.1 Who Can Register (Contracting Parties)
Account registration and agreement to these Terms is restricted to individuals who are at least 18 years of age, or the age of legal majority in their jurisdiction. This includes Parents/Guardians, Teachers, Center Owners, and Staff. By registering, you confirm you have the legal capacity to enter into a binding contract. Registering parties must: Provide accurate, complete, and current registration information. Maintain the confidentiality of their login credentials and accept full responsibility for all activity under their account. Promptly notify Hessity of any unauthorized access or security breach at support@hessity.app.
3.2 Student Access (Minors)
Students of any age — including minors under 18 — may access and use the Platform as participants in educational workspaces. However, student profiles must be created and managed by an authorized adult: either a Parent/Guardian (via a linked parental account) or a Workspace Owner (Teacher or Center) who enrolls the student on their behalf. By enrolling a minor student, the enrolling adult confirms that they are the parent, legal guardian, or an authorized representative with the right to grant the student access to the Platform and to consent to the collection and processing of the student's personal data as described in Section 8. Students who are minors do not independently agree to these Terms — their participation is governed by the consent of the adult who enrolled them. Hessity is not responsible for verifying the authority of adults who enroll students; that responsibility lies with the enrolling party. Hessity reserves the right to refuse registration, suspend, or terminate accounts that provide false information or violate these Terms.
4. User Roles & Multi-Profiles
4.1 Role Flexibility
The Platform supports multi-role profiles. A single user account may function simultaneously as a Parent, Teacher, or Staff member across different workspaces and contexts.
4.2 Parental Accounts
Parents or legal guardians who link their accounts to Student profiles bear full responsibility for monitoring the educational and financial activities associated with those student profiles. By linking a student profile, the parent/guardian confirms they have the legal authority to act on behalf of the minor.
4.3 Staff Management
Workspace Owners (Centers or Independent Teachers) are solely responsible for assigning roles, granting permissions, and managing their staff within the Platform. Hessity provides the tools; the governance of human resources remains entirely with the Workspace Owner. Hessity bears no liability for unauthorized access arising from improper permission management by Workspace Owners.
5. Workspace Dynamics (Teachers & Centers)
Hessity supports three core collaborative models: Independent Teacher: A teacher operating a fully private, self-managed workspace. Center Employee: A teacher functioning as part of a center's organizational hierarchy, subject to the center's internal policies. Provider Model: A center acting as a logistics host for independent teachers, managing scheduling and operations for an agreed commission or fee. Data Isolation: Each workspace is a strictly isolated entity. No data — including student records, financial data, schedules, or operational information — is shared between separate workspaces without explicit consent. This isolation is enforced at the system architecture level.
6. Educational & Managerial Operations
6.1 Free Core Management Suite
Access to all core management features is provided free of charge on a perpetual basis. This includes: attendance tracking (check-in/check-out), automated session scheduling, homework management, and student academic records. Hessity reserves the right to introduce new premium features in the future, provided that existing free features remain available at no cost.
6.2 Unified Student Dashboard
Students may enroll in multiple workspaces (different subjects, centers, or teachers) and manage their complete schedule, academic history, and notifications through a single centralized dashboard.
6.3 Real-Time Reporting & Notifications
The Platform automates information flows to ensure parents receive real-time notifications regarding student attendance, academic performance, and relevant activities. Users consent to receive such automated notifications as a core feature of the Service.
6.4 Accuracy of Academic Records & Audit Logs
All academic records, grades, and attendance entries are timestamped and attributed to the responsible user via audit logs. Users must not manipulate, falsify, or improperly alter any academic records. Violations may result in immediate account suspension and legal action under applicable Egyptian law. Audit logs generated by the Platform are intended for internal administrative management by the Workspace Owner. While Hessity ensures the technical integrity and immutability of these logs, they are provided "as-is" as an operational tool for the Workspace Owner's administrative use. Hessity acts solely as a neutral record-keeper and does not interpret, adjudicate, or render judgments based on log data. Hessity bears no liability for decisions made by Workspace Owners, third parties, or legal authorities based on the contents of these logs.
7. Financial Integrity & Success-Based Fees
7.1 The Success Fee Model
Hessity charges a 3% operational fee exclusively on successful financial transactions (Cash or Wallet payments) recorded within the Platform. No fee is charged on failed, pending, or refunded transactions. This model ensures Hessity's revenue is tied directly to your operational success.
7.2 Scope of the Operational Fee
The 3% fee covers: automated cashbox auditing, student e-wallet system management, secure transaction logging, and financial leakage prevention. This fee is automatically deducted at the time of transaction recording and shall be visible in all financial reports generated by the Platform.
7.3 Payment Gateway Integrations
Hessity integrates with third-party payment processors (including but not limited to Paymob) for wallet top-up and digital payment services. Hessity acts as the management and ledger layer. Users acknowledge that third-party payment providers operate under their own terms of service and that Hessity is not liable for errors, delays, or outages caused by those providers.
7.4 Refund & Dispute Policy
All payment disputes must be submitted to Hessity within 30 days of the transaction date. Hessity will investigate and provide a written response within 15 business days. Fees already processed may be refunded at Hessity's sole discretion in cases of verified platform error.
7.5 Cash Transactions & Platform Debt
Because Hessity cannot physically deduct fees from cash collected by a Workspace Owner, cash transactions generate a corresponding "Platform Debt" (also referred to as an "Outstanding Balance") in the Workspace Owner's account equal to 3% of the recorded cash amount. The Workspace Owner agrees to settle this outstanding balance periodically — and no later than the end of each calendar month — through an accepted settlement method (including but not limited to Fawry, Vodafone Cash, or credit/debit card). Failure to settle the Platform Debt within 7 days of a written reminder from Hessity may result in suspension of the Workspace Owner's account until the balance is cleared. Hessity will display the current outstanding balance prominently in the Workspace Owner's financial dashboard at all times.
8. Privacy & Data Protection
8.1 Compliance
Hessity processes personal data in compliance with Egypt's Personal Data Protection Law No. 151 of 2020 and its Executive Regulations. For users located in other jurisdictions, Hessity endeavors to meet equivalent data protection standards.
8.2 Data We Collect
We collect and process the following categories of personal data: Identity data: name, email address, phone number, national ID (where applicable). Academic data: attendance records, grades, homework submissions, session history. Financial data: transaction amounts, payment records (no raw card data is stored by Hessity). Technical data: IP address, device identifiers, usage logs, and analytics. Communications: support tickets, messages sent through the Platform.
8.3 How We Use Your Data
Personal data is used solely for: (a) providing and improving the Services; (b) sending transactional and operational notifications; (c) fraud prevention and security; (d) legal compliance; and (e) generating aggregated, anonymized analytics. Hessity does not sell personal data to third parties.
8.4 Data Retention
Active account data is retained for the duration of the account's existence plus 3 years following termination, or as required by Egyptian law, whichever is longer. Users may request deletion of personal data subject to legal retention obligations.
8.5 User Rights
Under applicable law, you have the right to: access your personal data; correct inaccurate data; request data deletion (subject to legal exceptions); object to certain processing activities; and receive a copy of your data in a portable format. To exercise these rights, contact privacy@hessity.app.
8.6 Minors' Data
The Platform may process data of individuals under 18 only with verifiable parental or guardian consent. Parents/guardians may request access to, correction of, or deletion of their child's data at any time.
8.7 Cookies & Tracking
Hessity uses cookies and similar technologies to maintain sessions, preferences, and analytics. Users may configure browser settings to reject non-essential cookies, though this may affect Platform functionality.
9. Intellectual Property Rights
All software, content, designs, trademarks, logos, and materials comprising the Hessity Platform are the exclusive intellectual property of Hessity or its licensors, protected under Egyptian Law No. 82 of 2002 on the Protection of Intellectual Property Rights. Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended educational management purposes. You may not: copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from any Platform content without Hessity's prior written consent. Content uploaded by Users (e.g., homework files, course materials) remains the intellectual property of the uploading User. By uploading, you grant Hessity a non-exclusive license to store, process, and display that content solely to deliver the Services.
10. Prohibited Conduct
Users must not use the Platform to: Impersonate any person or entity, or misrepresent your affiliation. Upload, transmit, or share content that is unlawful, defamatory, harassing, discriminatory, or violates any third-party rights. Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or Hessity's systems. Interfere with or disrupt the integrity or performance of the Platform. Use automated scripts, bots, or scrapers to access or collect data from the Platform. Engage in fraudulent financial activities, including falsifying payment records or attendance data. Violate any applicable local, national, or international law or regulation. Violations may result in immediate account suspension or termination, forfeiture of any outstanding wallet balance, and referral to relevant Egyptian authorities.
11. Limitation of Liability & Disclaimers
11.1 Service Availability & Force Majeure
Hessity provides the Platform on an "AS IS" and "AS AVAILABLE" basis. While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure access to the Services. Scheduled and emergency maintenance may cause temporary unavailability. Hessity shall not be liable for any failure or delay in the provision of Services resulting from circumstances beyond its reasonable control ("Force Majeure Events"), including but not limited to: acts of God, natural disasters, war, civil unrest, government orders or regulations, internet outages, national or regional telecommunications infrastructure failures, government-mandated network restrictions or shutdowns, power outages, cyberattacks on third-party infrastructure, or any other event beyond Hessity's reasonable control. In such cases, Hessity will make reasonable efforts to restore Services as promptly as practicable and will communicate estimated restoration timelines through available channels.
11.2 User Hardware & Connectivity Responsibility
Hessity is a software-as-a-service provider. The User is solely responsible for providing and maintaining: (a) adequate internet connectivity at all educational sites where the Platform is used; (b) hardware devices (including tablets, smartphones, QR scanners, and computers) used to access the Platform; and (c) the physical security of those devices at educational premises. Hessity shall not be liable for any service disruption, data loss, or operational failure arising from internet outages, hardware malfunction, device theft, or unauthorized physical access to devices at User sites.
11.3 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY EGYPTIAN LAW, HESSITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
11.4 Cap on Liability
IN NO EVENT SHALL HESSITY'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THAT USER TO HESSITY IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) EGP 1,000.
11.5 Exclusion of Consequential Damages
Hessity shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — even if advised of the possibility of such damages.
11.6 Third-Party Services
Hessity is not responsible for the availability, accuracy, or content of third-party services integrated with the Platform (including payment gateways and external links). Your use of third-party services is at your own risk and subject to those parties' terms.
11.7 User-Generated Content
Hessity does not endorse or assume any responsibility for User-generated content, including grades, comments, or uploaded files. Users bear full responsibility for the accuracy and legality of content they create on the Platform.
12. Termination & Suspension
12.1 Termination by User
You may terminate your account at any time by submitting a written request to support@hessity.app. Termination does not entitle you to a refund of any fees already processed. Outstanding wallet balances will be handled per Section 7.4.
12.2 Suspension or Termination by Hessity
Hessity reserves the right to immediately suspend or terminate your account — with or without prior notice — if you: (a) breach any provision of these Terms; (b) engage in conduct that is harmful to other users or the Platform; (c) fail to pay applicable fees; (d) are subject to legal proceedings that require us to restrict access; or (e) have been inactive for more than 24 consecutive months.
12.3 Effect of Termination
Upon termination: your license to use the Services ends immediately; access to your account and all associated data will be suspended; Hessity will retain your data for the legally required period (see Section 8.4); and any unpaid fees become immediately due and payable.
12.4 Survival
Sections 8 (Privacy), 9 (Intellectual Property), 11 (Liability), 13 (Dispute Resolution), and any payment obligations survive termination of these Terms.
13. Dispute Resolution & Governing Law
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles.
13.2 Amicable Resolution
Both parties agree to first attempt to resolve any dispute, controversy, or claim arising from these Terms through good-faith negotiations. A written notice of dispute must be submitted to legal@hessity.app. The parties shall have 30 days from receipt of such notice to reach an amicable settlement.
13.3 Jurisdiction
If the dispute is not resolved within the 30-day negotiation period, both parties submit to the exclusive jurisdiction of the competent courts located in Cairo, Egypt.
13.4 No Class Actions
All disputes shall be resolved on an individual basis. Users waive the right to participate in any class action, collective proceeding, or representative action against Hessity.
14. Changes to These Terms
Hessity reserves the right to modify these Terms at any time. Material changes will be communicated via email (to the address registered on your account) and/or a prominent in-Platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use and may terminate your account per Section 12.1.
15. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hessity regarding the Services. Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: Hessity's failure to enforce any right or provision shall not constitute a waiver of that right. Assignment: You may not assign or transfer your rights under these Terms without Hessity's prior written consent. Hessity may assign its rights freely. Language: In the event of any inconsistency between the English and Arabic versions of these Terms, the English version shall prevail.
